Welcome to Ya Ride (the "Platform"), a digital ride-hailing, on-demand transportation, and local delivery platform operated by DANYABI TRADING PLC (referred to as "Company", "we", "us", or "our"), a company registered under the laws of the Federal Democratic Republic of Ethiopia with Taxpayer Identification Number (TIN) 0094199977.
Please read these Terms of Service ("Terms") carefully. By downloading, installing, accessing, or using the Ya Ride mobile applications (the "Rider App" and "Driver App"), our website, or any related services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
1. DEFINITIONS
- "Platform" refers to the Ya Ride digital system, including the mobile applications (Rider App, Driver App), backend APIs, websites, and associated support infrastructure.
- "Services" means the ride-hailing, dispatching, and logistics services provided by the Company to facilitate connection between Riders, Drivers, and Couriers.
- "Rider" means an individual who registers an account on the Rider App to request transportation or delivery services.
- "Driver" means an independent contractor who registers on the Driver App and is authorized to provide transportation services to Riders.
- "Courier" means an independent contractor who provides delivery services (such as food, groceries, or packages).
- "Third-Party Provider" collectively refers to Drivers, Couriers, and other independent vendors offering services via the Platform.
- "Addis Ababa Bureau" or "AATB" refers to the Addis Ababa City Administration Transport Bureau.
- "INSA" refers to the Information Network Security Administration of Ethiopia.
2. ACCOUNT REGISTRATION & ELIGIBILITY
2.1 Eligibility
To use our Services as a Rider, you must be at least 18 years old and possess the legal capacity to enter into a binding agreement in Ethiopia. To use the Services as a Driver, you must meet the professional requirements outlined in Section 5.
2.2 Account Creation and Security
You must register for an account to use the Services. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account details.
- Keep your password and credentials secure and confidential.
- Accept full responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use or security breach of your account.
2.3 Mobile Phone Verification
Registration requires a valid Ethiopian mobile phone number (+251). You will receive an SMS-based One-Time Password (OTP) to verify your device. The Company is not responsible for any mobile carrier fees incurred in this process.
2.4 Account Deletion
You may delete your account at any time through the app or at https://yaride.et/delete-account. Deletion is subject to a 30-day recovery period during which the account is suspended and can be restored by you.
We may decline a deletion request while you have a trip in progress, a wallet balance, or an outstanding amount owed to Ya Ride. Deletion does not cancel any obligation you owe, and does not waive any amount Ya Ride owes you.
Deleting your account does not affect records we are required by law to retain. See our Privacy Policy for what is erased and what is kept.
3. THE YA RIDE SERVICES
3.1 Role of Danyabi Trading PLC
Ya Ride is a digital marketplace and dispatch platform. Danyabi Trading PLC does not provide transportation or delivery services directly. The Company does not function as a transportation carrier or logistics provider. All transportation and delivery services are provided by independent Third-Party Providers (Drivers/Couriers) who are not employees, agents, or joint-venturers of the Company.
3.2 Matching and Dispatch
When a Rider requests a ride or delivery, the Platform uses routing and matching algorithms to dispatch the request to nearby active Drivers/Couriers based on location, availability, and vehicle type. The Company does not guarantee that a Driver or Courier will accept every request.
4. RIDER TERMS & OBLIGATIONS
4.1 Passenger Conduct
Riders agree to respect Drivers and their vehicles. You shall not:
- Cause damage to the vehicle or properties of the Driver.
- Engage in abusive, threatening, or unlawful behavior during a trip.
- Request transportation of illegal goods, weapons, hazardous materials, or contraband.
- Exceed the maximum passenger capacity of the dispatched vehicle.
4.2 Charges and Cancellation
- Fares: Fares are calculated based on base fare, distance, duration, and dynamic demand factors. Estimated fares shown in the app before booking are estimations and may change due to route alterations, traffic delays, or stops.
- Cancellation Fee: If you cancel a ride request after a Driver has accepted it and traveled towards your location, or if you fail to show up within the designated waiting period, you may be charged a cancellation fee.
4.3 Payment Methods
Payments may be made via:
- Cash: Paid directly to the Driver upon completion of the trip.
- In-App Wallet: Pre-funded via authorized digital payment methods (such as Telebirr, CBE Birr, Chapa, or local bank transfers).
- Payment Gateways: Integrated third-party payment gateways linked to your account.
5. DRIVER & COURIER TERMS & OBLIGATIONS
This Section applies to all independent service providers registered on the Driver App.
5.1 Professional and Legal Requirements
To operate as a Driver on the Platform, you represent and warrant that:
- You possess a valid Ethiopian driver's license of the appropriate category.
- You own or have legal authority to operate the vehicle registered on your account.
- Your vehicle is in good working condition, complies with all safety and emissions standards in Ethiopia, and has valid third-party insurance as required by law.
- You have obtained all necessary permits, business registrations, or certifications required by the Addis Ababa Transport Bureau and federal authorities.
5.2 Service Standards
Drivers agree to:
- Maintain high professional standards, including polite conduct and safe driving practices.
- Follow the designated route provided by the navigation system or requested by the Rider.
- Keep the vehicle clean, safe, and smoke-free.
- Comply with all traffic laws and transport regulations of the Federal Democratic Republic of Ethiopia.
5.3 Independent Contractor Status
Drivers and Couriers acknowledge that:
- Their relationship with the Company is solely that of an independent service contractor.
- They are not employees, agents, or legal representatives of Danyabi Trading PLC.
- They have complete autonomy to decide when, where, and how long they work, and whether to accept or decline dispatch requests.
- They are responsible for their own operating expenses, vehicle maintenance, fuel, insurance, and taxes (including income tax and pension contributions).
6. INTELLECTUAL PROPERTY RIGHTS
All rights, title, and interest in the Platform, including codebases (NestJS, Angular, Flutter), UI/UX designs, trademarks, logos, brand assets, databases, and algorithms, are owned by or licensed to Danyabi Trading PLC.
You are granted a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to download and use the Rider App or Driver App on your personal mobile device solely to access and use the Services in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer, or decompile any part of our Platform.
7. PRIVACY & DATA SECURITY
Your privacy is paramount to us. By using the Services, you acknowledge the collection, storage, and processing of your personal information (including location data, contact details, trip history, and device identifiers) in accordance with the Ya Ride Privacy Policy.
Our data protection systems are designed and audited to meet the security guidelines of the Information Network Security Administration (INSA) of Ethiopia.
8. LIMITATION OF LIABILITY & DISCLAIMERS
8.1 Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." DANYABI TRADING PLC DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SERVICES, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY ETHIOPIAN LAW, DANYABI TRADING PLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE COMPANY SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY, OR LOSSES ARISING OUT OF:
- YOUR USE OF OR RELIANCE ON THE SERVICES OR YOUR INABILITY TO ACCESS OR USE THE SERVICES.
- ANY TRANSACTION OR RELATIONSHIP BETWEEN RIDERS AND THIRD-PARTY PROVIDERS, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. INDEMNIFICATION
You agree to indemnify and hold Danyabi Trading PLC and its officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees) arising out of or in connection with:
- Your use of the Services or services obtained through your use of the Platform.
- Your breach or violation of any of these Terms.
- Our use of your User Content.
- Your violation of the rights of any third party, including Drivers or Riders.
10. GOVERNING LAW & DISPUTE RESOLUTION
These Terms shall be governed by, interpreted, and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia.
Any dispute, controversy, or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach, or termination thereof, shall be settled amicably through negotiation. If an amicable settlement cannot be reached within thirty (30) days, the dispute shall be referred to and finally resolved by the competent courts of Addis Ababa, Ethiopia.
11. MODIFICATIONS TO TERMS
The Company reserves the right to modify these Terms at any time. Any changes will be posted on this page and the "Last Updated" date at the top will be updated. We will notify you of material changes via the Platform or email. Your continued use of the Services after the publication of modifications constitutes your acceptance of the revised Terms.
